Warwicks resumed on 205-2 and promptly lost Varun Chopra who had made 107 when he as caught by Lyth.
Sam Hain came in but only added fifteen and when Jon Trott was out for 74, caught by Lees, Warwicks were on 270-5.
Tim Ambrose batted on as Woakes went for fifteen, Ricky Clarke for 51 from 46 balls, Keith Barker made eighteen and Jeetan Patal nine.
Ambrose finished the innings on 61 not out when Warwicks declared on 443/9 with four wickets each for Patterson and Rashid.
Yorks went into bat and saw Adam Lyth out for eight, trapped lbw by Jeetan Patal and Lees caught by Woakes to give Rankin a wicket.
With the score on 73-2, the captains shook hands and the match eas declared a draw.
