Darren Maddy took 4-29 as Leicestershire made 205-9 from their forty overs.
Will Porterfield and Varun Chopra opened for Warwicks and the pair put on 189 for the first wicket when Porterfield who hit ten fours and two sixes in an innings of 95, was bowled by Henderson.
Nine runs later, Chopra was caught and bowled after making 86 from 98 balls when he was caught and bowled by Henderson.
Jim Troughton added sixteen as Warwicks wrapped up in the win shown live on Sky in 36.3 overs.
